PLEASE REVIEW THESE TERMS OF USE CAREFULLY. YOUR ACCESS TO AND USE OF THE SITE AND SERVICES (AS DEFINED BELOW) CONSTITUTES YOUR ACCEPTANCE OF, AND CONSENT TO BE BOUND BY, THESE TERMS OF USE. IF YOU DO NOT ACCEPT THESE TERMS OF USE, YOU MUST NOT USE OR ACCESS THE SITE OR SERVICES.

The website located at www.mdscollective.com (the “Site”) is a copyrighted work that belongs to MDS Collective Pte. Ltd. and its affiliates (“Company,” “MDS,” “us,” “our,” and “we”). These Terms of Use (“Terms”) are a legally binding agreement between you, as a user of our Site (“User,” “you,” and “your”), and the Company. By accessing the Site or using any of our Services, you agree to be bound by these Terms. Please also review our Privacy Policy for information on how we handle personal information.

1. Eligibility

The Site is available to users who are 18 years of age or older. By using the Site, you represent that you are at least 18 and of legal age to form a binding contract with us. If you do not meet these requirements, you must not access or use the Site.

2. Changes to these Terms

We may change, add, or remove portions of these Terms at any time, and changes take effect when posted. Please review these Terms before each use of the Site. By continuing to use the Site, you agree to any changes.

3. Access and security

We may withdraw, suspend, or amend the Site and any service, server, or material we provide on or through it (together, “Services”) at our sole discretion without notice. We will not be liable if all or any part of the Site or Services is unavailable at any time or for any period. We may restrict access to some or all of the Site.

Client tools linked from the Site, such as our client dashboard, are governed by the agreements we have with our clients. If you are given a username, password, or other security information, you are responsible for keeping it confidential and for any consequences of sharing it.

4. Intellectual property and limited license

We and our licensors own all content on the Site and Services, including text, graphics, images, video, designs, articles, and business processes (the “Content”). Information you submit to us is not part of the Content, and you agree that we may use it to operate our systems and provide our Services to you, as described in our Privacy Policy. Third-party content, such as client names, logos, or articles supplied by others, belongs to its respective owners.

We grant you a limited, non-exclusive, non-transferable, revocable license to view the Site for your personal and business use, provided you do not modify the Content and you keep any copyright and proprietary notices. You may share links to the Site and quote short excerpts with clear attribution to MDS Collective and a link back to the source page.

5. Restrictions

You may use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to use the Site or any Service:

to access parts of the Site you are not authorized to access;
in any way that violates any applicable law or regulation;
to impersonate the Company, a Company employee, another user, or any other person or entity;
to engage in conduct that restricts or inhibits anyone’s use of the Site, or that may harm the Company or users of the Site, including sending spam through our forms;
in any manner that could disable, overburden, damage, or impair the Site or interfere with anyone else’s use of it;
to engage in any malicious or harmful activity, including reverse engineering, decompiling, or attempting to breach the Site’s security (for example port scanning, sniffing, or spoofing);
to collect or aggregate data about users of the Site;
to reproduce, modify, translate, create derivative works of, sell, or otherwise exploit any part of the Site or Services except as expressly allowed in these Terms;
to copy, imitate, or recreate the Site’s design, layout, look and feel, copy, imagery, illustrations, animations, source code, or the Game (as defined below), in whole or in substantial part, for any other website, product, pitch, or marketing material;
to use any robot, spider, crawler, or other automated means to scrape or gather Content from the Site or any domain operated by the Company, except as allowed below; or
to use any Content to train, fine-tune, or build a dataset for any machine learning or artificial intelligence model without our prior written permission.

Operators of public search engines and AI answer engines may crawl and index the Site to show search results, summaries, and answers that cite and link back to the Site. This permission does not extend to building archives, mirror sites, or training datasets.

If you use the Site in breach of these Terms, your right to use the Site ends immediately and you must, at our option, return or destroy any copies you have made. No right, title, or interest in the Site or its Content is transferred to you, and all rights not expressly granted are reserved.

6. Copyright

All Content and functionality on the Site, including text, graphics, logos, icons, images, illustrations, video, animations, source code, the Game, and the selection, arrangement, and overall design of all of these, is the property of the Company or our licensors and is protected by the copyright laws of Singapore, the People’s Republic of China, and other countries, and by international treaties including the Berne Convention. Unauthorized copying, reproduction, or distribution may result in civil and criminal liability.

Reporting copying. If you believe someone has copied our work, or that something on the Site infringes your rights, email us at hello [at] mdscollective.com with the details and the location of the material.

7. Trademarks

The “MDS Collective” and “MDS” names, the Company’s logo, and the names of our products, including Paragon, Atlas, Mystique, and Cerebro, and all related names, logos, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use them without our prior written permission. All other names, logos, and marks on the Site, including those of our clients and partners, belong to their respective owners.

8. The Account Manager game

The Site includes a browser game, “The Account Manager” (the “Game”), including its characters, artwork, levels, music, sound effects, text, and code. The Game is part of the Content and is owned by the Company.

For fun only. The Game is free, offered for entertainment, and has no prizes, rewards, or monetary value. We may change, reset, or remove it at any time.
Global leaderboard. If you finish a run or run out of lives, you may choose to post a display name and your run details to a public leaderboard. Your display name is visible to anyone who visits the Site. Do not use your full name, an email address, or other personal details, and do not use a name that is offensive, misleading, impersonates someone else, or infringes anyone’s rights.
Moderation. We may edit, hide, or delete any leaderboard entry, and reset the leaderboard, at any time and for any reason, without notice.
Fair play. You must not cheat, submit scores other than by playing the Game normally, automate submissions, or interfere with the leaderboard service or its servers. We may remove entries we believe break these rules.
No warranty. The Game is provided “as is,” like the rest of the Site.

9. Information you submit

You are responsible for the accuracy of any information you submit through the Site. Unless we agree otherwise in writing, materials you submit (such as project details in our enquiry form) are treated as non-confidential and do not create any legal, fiduciary, or other obligation on our part. We may screen or delete submissions for any reason. Personal information you submit is handled under our Privacy Policy.

10. Monitoring, enforcement, and termination

We may take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Site. We may terminate or suspend your access to all or part of the Site for any reason, including a violation of these Terms. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN DURING OR AS A RESULT OF SUCH INVESTIGATIONS.

11. No professional advice

Information on the Site, including case studies, statistics, articles, and market insights, is provided for general information only. It is not legal, financial, or other professional advice, and we do not warrant its accuracy, completeness, or usefulness. Any reliance you place on it is at your own risk.

12. Third-party links

The Site may link to websites operated by third parties, such as our clients, partners, award organizers, and social media platforms. We are not responsible for those websites, which are governed by their own terms and privacy policies. Links are provided for convenience and do not imply endorsement.

13. Changes to the Site

We may update the Content on the Site from time to time, but it may not always be complete or up to date, and we are under no obligation to update it.

14. Geographic scope

The Site is operated from Singapore. We make no representation that the Content is appropriate or available for use in other locations. If you access the Site from elsewhere, you do so on your own initiative and are responsible for complying with local laws.

15. Disclaimer of warranties

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH IT IS AT YOUR OWN RISK. THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. This does not affect any warranties that cannot be excluded or limited under applicable law.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, OR ANY CONTENT ON THEM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF REVENUE, PROFITS, BUSINESS, GOODWILL, OR DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. This does not affect any liability that cannot be excluded or limited under applicable law.

17. Governing law and jurisdiction

These Terms are governed by the laws of Singapore, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms, the Site, or the Services shall be subject to the non-exclusive jurisdiction of the courts of Singapore. Nothing in these Terms removes any protection you have under the mandatory laws of the country where you live.

18. Time limit for claims

TO THE EXTENT PERMITTED BY LAW, ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES, OR IT IS PERMANENTLY BARRED.

19. Waiver and severability

No waiver of any term of these Terms is a further or continuing waiver of that term or any other term, and our failure to enforce a right does not waive it. If any provision of these Terms is held invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in full force.

20. Entire agreement

These Terms and our Privacy Policy are the entire agreement between you and the Company regarding the Site, and supersede all prior understandings regarding the Site. Any separate written agreement for our services governs those services.
